Questions about purchasing bicycles and parts

I'am just about to upgrade to a carbon road bike and have a budget of $3,000 - $3,500max.
Basically I mainly use my bike for club group rides and training, and potentially get into racing at some point later next year. I am currently looking for an Ultegra upgrade from my 105 bike and looking at 2 potential bikes in my price range.
Here are the 2 bikes I am considering. Both look nice and have Ultegra setup and just want opinions as to what would be better. I know it comes down to the test ride, but I do not know enough about Cervelo apart from that they are speed machines and with Fondriest I don't know anything about. So any comments / opinions would be good to help me choose and decide which one.
2011 Cervelo S2 (Ultegra Setup) - $3,495
2012 Fondriest TF3 1.2 (Ultegra Setup) - $3199.95
For reference here are the two bike pics attached. (BTW, the Cervelo doesn't come with those Zipp wheels, but with the Fulcrum Racing 7 wheels, which I plan to upgrade anyway...)

I have never ridden a Fondreist so I can't provide a comparison of the 2, but I can say that I've been very happy with my S2 which I bought at the end of last year. I've put 7,000kms on it and it's been troublefree.
I think a 2011 ultegra S2 for $3,500 is on the expensive side though... on bikeexchange theres a few 2011 S2's with Sram red on them for around that price. The 2013 stock will be hitting bike stores soon too and they are likely to be cheaper (if the cervelo site is anything to go by). I think the 2011 S2 rival's RRP was USD$4,500, and the 2013 S2 105's RRP is USD$2800. The bikes are more or less the same, just a different paintjob.
FYI - a friend of mine purchased a 2012 Cervelo S5 rival for $3,500 earlier this year.

Ridem both then pick the one you like. Consider a 2013 R3 Ultegra, list price is 3900, youll be able to get if for less and close to 3500.
As above I think that price is too high for a 2011 seeing as the 2013 should be here v soon if they arent already.
Disclaimer - have a 2011 R3 that I like a lot.
Both very good bikes, you can't go wrong with either. I have two cervelos so would lean that way. I know people with fondreists however and they are happy with them, a good stiff frame also.
